Private equity simply means “not public”.
It cannot be offered for sale to the general public (“offered for sale” is a more stringent requirement than “can’t be sold”; you can’t even try to sell it!) and of course shares are not listed and the company is exempt from all the relative SEC filings.
Another interesting tidbit is that the company has to act fairly towards its stockholders, whereas a public company has to act in their best interest.
